Introduction to the team
Our Mergers and Acquisitions Tax (M&A Tax) practice partners with owners and investors to minimize tax liabilities and accurately assess tax exposures across a broad spectrum of transactions, including buy-side and sell-side deals, restructurings, and both taxable and tax-free transactions. We offer comprehensive services such as tax due diligence, tax structuring, quantitative tax modeling, transaction agreement review and consultation, and technical tax support.
Within this practice, the Partnership Consulting & Modeling Group specializes in managing highly complex partnership tax matters. Their expertise encompasses deal structuring, partnership agreement review, capital account maintenance, allocations, Section 704(c) compliance, basis adjustments under Sections 743(b) and 734(b), Section 751 issues, profits interest tracking and analysis, disguised sales, outside basis tracking, and debt allocations.

Responsibilities:
Develop detailed models for partnership income and debt allocations, Section 704(c) tracking, revaluations, and other complex partnership items to support tax return preparation and collaborate with core tax teams
- Conduct high-level and detailed tax and economic modeling for partnership formations, restructurings, acquisitions, dispositions, and allocations.
- Prepare complex distribution waterfalls, income allocations ensuring compliance with Section 704(b), and detailed purchase price allocations.
- Serve as a technical resource for U.S. federal income tax aspects of due diligence, mergers, and acquisitions within Partnership Consulting & Modeling projects.
- Address complex tax, accounting, and business challenges, focusing on tax structuring and due diligence for buy-side and sell-side transactions.
- Analyze target company tax data to assess historical trends, tax exposures, planning opportunities, and engage with tax/accounting providers and management.
- Design efficient tax structures for acquisitions, dispositions, and restructurings, including tax impact modeling for attribute availability, basis step-up, and tax efficiency.
- Utilize technical expertise to manage projects and develop the practice, delivering timely, high-quality services that exceed client expectations.
- Support proposals and business development efforts, including marketing material creation.
- Author and co-author technical articles for publication and participate in public speaking at tax conferences and events.
- Occasionally travel domestically for client meetings and firm events.
Qualifications:
- Bachelor’s in accounting or equivalent required; Master's degree in Taxation or JD with LLM in taxation preferred
- CPA designation required; candidates without a CPA must meet the educational requirements to obtain licensure in the state of employment upon hire
- Minimum 7 years of tax experience preferably with a public accounting firm or law firm
- Extensive experience in partnership tax consulting and reporting, including expertise in targeted allocations, Section 704(c), Section 704(b), tax capital account tracking, and basis adjustments
- Proven experience working with private equity firms and strategic buyers and sellers
- Strong analytical skills with the ability to assess complex business and transactional scenarios
- Proficient in tax and economic modeling
- Demonstrated experience supervising and mentoring staff
- Excellent project management and organizational abilities
- Outstanding interpersonal, verbal, and written communication skills
- Ability to work effectively both independently and collaboratively within a team
- Capable of managing multiple priorities, tasks, and concurrent projects efficiently
